By installing, opening or using Voice Notes (the "App") you agree to these Terms. If you do not agree, do not use the App. The App is operated by Yaysoft Ltd ("we", "us").

1. How the App works (so you know what you accept)

Voice Notes records audio using your iPhone's microphone, transcribes it locally with WhisperKit (OpenAI's Whisper running on-device via Apple Core ML), and — when you press Save — sends the resulting text transcript to our backend, which forwards it to a third-party AI provider (currently OpenAI or Google Gemini) to extract structured fields (title, category, due date, tasks, location text).

Your raw audio file is never uploaded by us.
The transcript text is sent to a third-party AI provider and is subject to that provider's data-use and privacy terms.
If you Discard a recording instead of saving, nothing is sent off-device.

2. Your responsibilities

You assume full responsibility for everything you record and for any text that leaves your device when you save a note.

Consent. You confirm that you have obtained any consent required by applicable law from every person whose voice you capture, including but not limited to two-party-consent jurisdictions and workplaces. We do not provide legal advice; if in doubt, do not record.
Lawful use. You are responsible for ensuring that what you record, save, transcribe, or share is lawful where you live and where the person being recorded is located.
Sensitive content. You are responsible for deciding whether to send a transcript to AI processing. If a transcript contains health, financial, legal, trade-secret, or other sensitive information, do not press Save — the AI extraction step is what transmits the text. We do not monitor or filter content.
Third-party rights. You will not use the App to process content that infringes intellectual-property rights, harasses, defames, defrauds, or violates anyone's privacy or other rights.
Account integrity. You will not attempt to tamper with quota counters, subscription state, the API, the admin panel, or any security mechanism.
No reverse engineering. You will not reverse-engineer, decompile, scrape, or attempt to extract our private keys, prompts, models, or non-public APIs.
No reselling. You will not resell, sublicense, or otherwise commercialize the App or its output without our written permission.

3. AI output is not advice

AI-generated titles, dates, tasks, summaries, and locations may be wrong, outdated, incomplete, or hallucinated. You are responsible for reviewing every output before relying on it. Voice Notes is a productivity tool, not a source of legal, medical, financial, or professional advice.

4. Third-party services

Your use of the App involves third-party services, each governed by its own terms. Their failure or change is outside our control:

5. Subscription & free quota

The free tier allows a limited number of AI-extracted notes per month (set on the server, currently 10/month). The exact limit can change.
A subscription (Monthly or Annual) unlocks unlimited AI-extracted notes and is processed through Apple's in-app purchase + RevenueCat.
Subscriptions auto-renew until cancelled. Manage your subscription from iOS Settings → Apple ID → Subscriptions.
Refunds are handled by Apple per their App Store refund policy. We cannot issue refunds directly.
Features available to each tier may change. Subscribed users will not lose features without notice.

6. Availability

We make no guarantee of uptime, performance, or specific results. The App's local features (recording, on-device transcription, local notes) work without our backend; AI extraction requires connectivity to voicenotesai.app and the active third-party AI provider.

7. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF DATA, REVENUE, GOODWILL, OR PROFITS), ARISING OUT OF OR RELATED TO YOUR USE OF THE APP — WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD 25.

9. Indemnification

You agree to indemnify and hold us harmless from any claim, damage, loss, liability, cost, or expense (including reasonable legal fees) arising from your use of the App, your breach of these Terms, or your violation of any law or third-party right — including but not limited to claims related to recordings you made or content you sent through the App.

10. Termination

We may suspend or terminate access to the App or any portion of it at any time, with or without notice, including for behavior we determine in good faith to violate these Terms or applicable law.

11. Governing law

These Terms are governed by the laws of the Republic of Türkiye, without regard to its conflict-of-laws provisions. Any dispute will be brought exclusively before the courts of Istanbul, Türkiye, unless mandatory consumer laws of your residence apply.

12. Changes

We may update these Terms. The effective date at the top will be updated. Material changes will be surfaced inside the App on next launch. Continued use of the App after a change means you accept the new Terms.
